1. Introduction
These Terms of Use (“Terms”) govern access to and use of VeriSense for Business (the “Service”) by business customers and their authorised users. By creating a business account, purchasing seats, inviting users, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
VeriSense for Business is provided by Conso4s Limited, a company registered in England and Wales. For company registration and registered office details, contact [email protected].
2. Related policies
These Terms should be read together with our:
Individual consumer Terms for VeriSense App are available at Terms of Service (Individual).
3. The Service
VeriSense for Business is a business software service that helps organisations check emails, invoices, links, documents and related content for scam and fraud risk signals before users act.
The Service may change over time. We may add, modify or remove features. Access to paid features requires a business account and active seats.
4. Business accounts and authorised users
The Service is intended for business use.
The organisation that purchases or administers the account (“Customer”) is responsible for:
- all use of the Service by its authorised users (“Users”);
- ensuring each User is authorised to access the Customer’s account and allocated seats;
- maintaining the confidentiality of account credentials;
- ensuring use of the Service complies with these Terms and applicable law.
If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
5. Seat subscriptions and billing
Access to paid features is provided on a per-user seat basis.
Unless a different price is stated at checkout, in an order form, or in a written agreement with Conso4s, the standard price for VeriSense for Business is $2.99 per user per month.
Seat counts, check quotas and feature entitlements are as described at the point of purchase or in the product. Subscriptions renew automatically for the selected billing period unless cancelled before renewal.
Billing, renewal, cancellation and refunds are further described in the Payments Policy.
6. Cancellation and termination by the Customer
The Customer may cancel a subscription at any time through account settings or by contacting [email protected]. Unless otherwise stated at purchase, cancellation takes effect at the end of the current paid billing period, and access continues until that period ends.
7. Suspension or termination by Conso4s
We may suspend or terminate access to the Service where reasonably necessary due to:
- material breach of these Terms or the Acceptable Use Policy;
- non-payment;
- suspected fraud, abuse or security risk;
- legal or regulatory requirements.
Where reasonably practicable, we will provide notice before taking action.
8. Acceptable use
Users must use the Service only for lawful, legitimate business verification and risk-assessment purposes.
Users must not use the Service for unlawful activity; attempt to gain unauthorised access, reverse engineer, disrupt or overload the Service; misuse quotas, seats or automation; submit content they are not entitled to submit; or use the Service in a way that harms Conso4s, other customers, or third parties.
Full rules are set out in the Acceptable Use Policy.
9. Customer-submitted content
The Customer and its Users retain ownership of content they submit for checking (“Customer Content”).
By submitting Customer Content, the Customer grants Conso4s a limited, worldwide, non-exclusive licence to host, process, analyse and store that content solely to provide and operate the Service, maintain security and prevent abuse, improve the Service, and meet legal obligations.
This licence ends when the content is deleted or the account is closed, except where retention is required by law or for legitimate security, dispute or accounting purposes.
The Customer is responsible for ensuring it has all rights needed to submit Customer Content.
10. Confidentiality
Each party must keep the other party’s confidential information confidential and use it only as needed to perform under these Terms, except where disclosure is required by law.
11. Data protection
Personal data is handled as described in the Privacy Policy. The Customer remains responsible for its own compliance obligations when submitting personal data to the Service.
12. Service limitations
The Service provides risk guidance and signals to support informed decisions. It does not guarantee that fraud, scams or compromise will be prevented, detected or stopped.
Outputs from the Service are not legal, financial, compliance, audit or other professional advice. The Customer remains responsible for its internal controls and final decisions.
13. Disclaimer of warranties
Except where required by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Conso4s does not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that all risks will be identified.
14. Limitation of liability
To the maximum extent permitted by law:
- Conso4s is not liable for any indirect, incidental, special, consequential or punitive losses, including loss of profits, revenue, business, goodwill or data; and
- Conso4s’ total aggregate liability arising out of or relating to the Service in any rolling 12-month period is limited to the fees paid by the Customer to Conso4s for the Service in that period.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or for death or personal injury caused by negligence.
15. Indemnity
The Customer will indemnify and hold harmless Conso4s and its officers, employees and agents against claims, losses, damages and reasonable costs arising from the Customer’s or Users’ use of the Service, Customer Content, breach of these Terms, or infringement of third-party rights, except to the extent caused by Conso4s’ negligence or unlawful conduct.
16. Changes to the Service or Terms
We may update the Service and these Terms from time to time. For material changes to these Terms, we will provide notice by email or through the Service where reasonably practicable. Continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms.
17. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law requires otherwise.
Before starting formal proceedings, the parties will attempt to resolve disputes informally by contacting [email protected] or [email protected].
